GENERAL

All orders and works undertaken by PanGrafix are subject to the following terms & conditions. Any exceptions thereto are not binding unless confirmed by PanGrafix in writing.

RETENTION & TITLE OF GOODS.

Ownership of all Goods, Work or Materials remain the property of PanGrafix and will not pass to the Customer until PanGrafix is paid in full and funds are cleared on all outstanding amounts owed by the Customer to PanGrafix.

INTELLECTUAL PROPERTY RIGHTS & COPYRIGHTS

Intellectual Property Rights and Copyrights of artworks and designs remain the property of PanGrafix and may not be used for any other purpose than that for which the work was undertaken without express and written permission from PanGrafix.

PAYMENT

Unless alternative arrangements have been made in advance and in writing, payment of accounts become due and in full immediately on invoice. Any invoices not paid within 28 days, will incur a charge of £40 per invoice and for each 28 day period or part of therafter from date of invoice. Any Goods, Work or Materials not paid for in full may not be used, copied, transmitted or passed on to third parties and must be returned to PanGrafix until payment in full is received, at which time the work and materials will be released to the Customer.

PanGrafix may enter the Customers premises for this purpose and may if necessary detach or remove the Goods, Work or Materials. This does not affect any other rights of PanGrafix.

Until PanGrafix has been paid in full by the Customer for all Goods, Work or Materials, the following will apply:

a. if the Customer uses any Goods, Work or Materials supplied by PanGrafix commercially, the Customer shall hold that part of the proceeds which is equal to the amount owing to be paid to PanGrafix on trust for PanGrafix and in a separate bank account.

b. PanGrafix may trace the proceeds of sale that the Customer received into any bank or other account, which the Customer maintains in part, or whole.

c. if the Customer sells the Goods, Work or Materials, PanGrafix may by written demand require the Customer to assign to the Company the right to recover the price from its purchaser.

d. the Customer must not assign to any other person any right arising from a sale of the Goods, Work or Materials without written consent from PanGrafix.
Any terms of purchase, or title of goods, or retention of goods stated or otherwise shall be superseded by this document and will be considered null and void and therefore will not stand if the customer purchases Goods, Work or Materials from PanGrafix.

These terms and conditions remain enforceable even if the Customer should apply for Bankruptcy, or go into Liquidation, or go into Receivership or Administration.

CANCELLATIONS.
The Customer will be be liable for payment in full for any cancellation or alterations to work already undertaken or completed.

COMPLAINTS.
Complaints regarding any Goods, Work or Materials must be reported in writing by recorded delivery within 7 days after delivery or completion of work.
Provided a complaint is justified, it is at the sole discretion of PanGrafix after the complaint has been investigated whether a Credit Note or Replacement for Goods, Work or Materials are given to the Customer.

FORCE MAJEURE.

PanGrafix will not be liable for any loss or damage caused by non-delivery or delayed delivery due to force majeure.
